Welcome to UroPay! These Terms of Use ("Terms") govern the access or use by you (whether as a merchant, user, customer or third party) of the Services (as defined below) provided by UroPay ("UroPay", "we", "us" or "our"), a sole proprietorship having its principal place of business at 402, Ground Floor, Ward -12, Sector – 37, Noida 201303, Uttar Pradesh. UroPay provides a UPI-based payment solution that enables businesses to accept payments via an android phone and related web services.
These Terms also include our privacy policy, available at https://www.uropay.me/privacy ("Privacy Policy") and General Disclaimer, available at https://www.uropay.me/disclaimer. Your access and use of the Services constitute your agreement to be bound by these Terms, which establishes a contractual relationship between you and UroPay. Please read these Terms carefully before accessing or using the UroPay website (https://www.uropay.me/) and/or mobile application (collectively, the "Platform", or "Service"). If you do not agree to these Terms, you may not access or use the Services.
By accessing or using the Platform, you affirm that you are at least 18 years old and have the legal capacity to enter into a binding contract under Indian law. Your use of the Platform constitutes your acceptance of these Terms and any future amendments.
You agree to use the Platform only: (i) for purposes that are permitted by the Terms; and (ii) in accordance with any applicable law.
UroPay hereby grants you, a limited, non-exclusive, non-transferable, royalty free license to use the Platform for the purposes of availing the Services.
You agree that you shall not copy, reproduce, sell, redistribute, publish, enter into a database, display, perform, modify, alter, transmit, license, create derivatives from, transfer or in any way exploit any part of any information, content, materials, Services available from or through the Platform.
You agree that you will not use the Platform in any manner or engage in any activity that may damage, disable or impair or adversely affect the use of the Platform or interfere with any other users' use, legal rights or enjoyment of the Platform.
You further undertake not to:
To access certain features of the Platform, you will have to register on the Platform by providing details including but not limited to full name, mobile number, email address, profile photo, business name/entity name, UPI ID/VPA, etc. and other information as may be required by UroPay, from time to time.
You shall ensure and confirm that the account information provided by you is complete, accurate and up-to-date. If there is any change in the account information, you shall promptly update your account information on the Platform. If you provide any information that is untrue, inaccurate, not current or incomplete (or becomes untrue, inaccurate, not current or incomplete), or if UroPay has reasonable grounds to suspect that such information is untrue, inaccurate, not current or incomplete, UroPay has the right to suspend or terminate your account and refuse any and all current or future use of the Platform (or any portion thereof) at its discretion, in addition to any right that UroPay may have against you under law or in equity, for any misrepresentation of information provided by you.
You will be responsible for maintaining the confidentiality of the account information and for all activities that occur under your account and you also agree to keep your login credentials safe and confidential at all times. You further agree to promptly change your login credentials immediately in case of any actual or suspected unauthorized use of your account. UroPay will not be liable for any loss or damage arising from your failure to comply with this provision. You may be held liable for losses incurred by UroPay or any other user of or visitor to the Platform due to authorized or unauthorized use of your account.
UroPay provides a technology platform that facilitates the generation of QR codes, reading and verification of UPI credit messages.
UroPay offers various subscription plans, including Free, Growth, and Unlimited Plans, as detailed on the Platform ("Subscription Plans"). We may, from time to time, introduce new features, tools or modules as part of our Services. Continued use of the Platform after such additions constitutes your acceptance of the modified scope of Services.
Unless otherwise stated, Subscription Plans automatically renew at the end of each billing cycle for the same duration, unless cancelled prior to renewal through your account settings or by contacting UroPay's support team at gaurav@uropay.me.
You may cancel your Subscription Plan at any time, however, cancellation will be effective only at the end of the current billing cycle. You will continue to have access to the subscribed Services until the expiry of the current term.
UroPay reserves the right to revise the pricing of any Subscription Plan at its sole discretion. Any change in pricing will be communicated in advance and will apply from the subsequent renewal cycle. Continued use of the Services after such notice constitutes acceptance of the revised pricing.

The Platform and all information, content, materials, products including, but not limited to text, content, photographs, graphics, texts, video and audio content and computer code ("Content") on the Platform is owned, designed and controlled by UroPay and the design and arrangement of the Content is protected by copyright and trademark laws and other intellectual property rights either in the favour of UroPay, or third parties from whom the appropriate permissions have been taken under applicable laws. The trademarks, logos and service marks displayed on the Platform ("Marks") are the property of UroPay or other respective third parties, as the case may be. You are not permitted to use the Marks without the express prior written consent of UroPay or the third party which owns the Marks.
Further, you understand and accept that all information, except your personal information and other data submitted by you for the purposes of transacting on the Platform, through the Platform shall be deemed the property of UroPay, and UroPay shall be free to use any ideas, concepts, know-how or techniques provided by you on the Platform, in any manner whatsoever. On initiating a contact or query through the Platform, you agree to be contacted by UroPay or any other entities with whom UroPay has entered into an arrangement for the provision of Services to you.
UroPay makes no warranty that: (a) the Platform or Services will meet your requirements; (b) the Platform or Services will be available on an uninterrupted, timely, secure, or error-free basis; or (c) the results that may be obtained from the use of the Platform or Services will be accurate or reliable.
THE PLATFORM, AND ALL CONTENT, MATERIALS, INFORMATION, SOFTWARE AND SERVICES PROVIDED ON THE PLATFORM, ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. UROPAY EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.
Your use of the Platform is governed by our Privacy Policy, which outlines how we collect, use, and protect your personal information. By using the Platform, you consent to the practices described in the Privacy Policy.
To the fullest extent permitted by applicable law, UroPay shall not be liable for any indirect, incidental, special, consequential or punitive damages (including, but not limited to, damages for lost profits, revenue, business interruption and loss of programs or information) arising out of or in connection with your use of the Platform or the Services, even if UroPay has been advised of the possibility of such damages. If the foregoing limitation is held to be unenforceable, the maximum liability of UroPay to you, for any reasons whatsoever, shall not exceed INR 1,000 or the amount paid by you under the transaction in dispute, whichever is lower.
The limitations and exclusions in this section apply to the maximum extent permitted by applicable law.
You agree to defend, indemnify, and hold harmless UroPay, its proprietor, affiliates, employees, officers, agents, and their successors and assigns from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorney's fees) arising from or related to:

The Terms will continue to apply until terminated either by you or UroPay as set forth below.
If you object to the Terms or are dissatisfied with the Platform, your only recourse is to: (i) close your account on the Platform; and/or (ii) stop accessing the Platform.
In case you violate these Terms and/ or any applicable law, UroPay may, at any time and in its sole discretion, terminate your account and/or prevent you from accessing the Platform and/or Services.
UroPay may delist you or block your future access to the Platform or suspend or terminate your account if it believes, in its sole and absolute discretion that you have infringed, breached, violated, abused, or unethically manipulated or exploited any term of these Terms. Notwithstanding anything in this section, these Terms will survive indefinitely unless and until UroPay chooses to terminate them.
Upon termination of these Terms, UroPay may delete any Content or other materials relating to you, and UroPay shall have no liability to you or any third party for doing so. However, your transactions details may be preserved by UroPay for purposes of regulatory compliance.
UroPay may, from time to time, provide updates, upgrades, enhancements, bug fixes, or other modifications to the Platform or Services ("Updates"). Such Updates may be automatically installed without prior notice or may require manual installation. UroPay shall not be liable for any interruption or loss of data resulting from installation of Updates.
UroPay reserves the right to:
UroPay may provide technical or customer support in relation to the Platform or Services. Support may be offered through email, chat or ticketing systems during standard business hours as specified on the Platform. While, UroPay endeavours to provide timely assistance, it does not guarantee uninterrupted or error-free support. Response times may vary depending on the nature and complexity of the issue raised. Support services do not include on-site assistance, hardware repairs or third-party integrations unless explicitly stated in the applicable Subscription Plan.
UroPay may conduct scheduled or unscheduled maintenance, upgrades or repairs that may temporarily affect the availability of the Platform or Services. Reasonable efforts will be made to notify you in advance where practicable. UroPay shall not be liable for any consequences arising from temporary unavailability or reduced performance during such maintenance periods.
You may share suggestions, ideas, or feedback about the Platform or Services ("Feedback"). By submitting Feedback, you agree that UroPay may freely use, modify, and incorporate it into its products or services without any obligation to compensate, acknowledge or reward you. You acknowledge that UroPay is not required to act on any Feedback received.
UroPay shall not be liable for failure or error of any transaction on the Platform or for any failure on part of UroPay to perform any of its obligations under these Terms if performance is prevented, hindered or delayed by a Force Majeure Event (as defined below) and in such case its obligations under these Terms shall be suspended for so long as the Force Majeure Event continues.
The term "Force Majeure Event" means and includes any event due to any cause beyond the reasonable control of the affected party, including without limitations, unavailability of any communication systems, breach, or virus in the processes or payment or delivery mechanism, sabotage, fire, flood, explosion, acts of god, civil commotion, strikes or industrial action of any kind, riots, insurrection, war, acts of government, pandemic or epidemic, computer hacking, unauthorised access to computer data and storage devices, computer crashes, malfunctioning in the computer terminal or the systems getting affected by any malicious, destructive or corrupting code or program, mechanical or technical errors/failures or power shut down, faults or failures in telecommunication, etc.
All notices from UroPay will be served by email to your registered email address, mobile number or by general notification on the Platform. Any notice provided to UroPay pursuant to the Terms should be sent to: gaurav@uropay.me.
You cannot assign or otherwise transfer the Terms, or any rights granted hereunder to any third party. UroPay's rights under the Terms are freely transferable by UroPay to any third party without the requirement of seeking your consent.
If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.
No waiver of any provision of these Terms shall be deemed a further or continuing waiver of such provision or any other provision, and UroPay's failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
UroPay reserves the right to modify, update or revise these Terms at any time. Any changes will be effective immediately upon posting on the Platform. Your continued use of the Platform after such changes constitutes your acceptance of the revised Terms.
These Terms, together with UroPay's Privacy Policy and General Disclaimer, constitute the entire agreement between you and UroPay with respect to your use of the Platform and Services. They supersede all prior communications, representations, understandings, or agreements (whether oral or written) relating to the same subject matter.
These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Noida, Uttar Pradesh, India.
